General Terms & Conditions
This is a translation. In case of doubt, the German version applies.
§ 1 Scope
(1) These General Terms and Conditions, in the version valid at the time of the order, apply exclusively to all orders placed in the online shop tokyo-design-studio.com between teeblume UG (haftungsbeschränkt), represented by its managing director Hermann Blume, Bendhütter Str. 131, 41066 Mönchengladbach, Germany, e-mail: mail@tokyo-design-studio.com (hereinafter “Seller”) and the customer.
(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession (§ 13 BGB). A business customer is any natural or legal person or partnership acting in the exercise of their trade, business or profession (§ 14 BGB).
(3) Deviating terms of the customer are not accepted unless the Seller expressly agrees to them.
§ 2 Conclusion of contract
(1) The presentation of products in the online shop is not a legally binding offer but a non-binding invitation to order.
(2) The customer places the desired products in the shopping cart and starts the checkout via “Checkout”. There the customer enters their details and selects the shipping and payment method. Before sending the order, all order details are shown in an overview, where input errors can be identified and corrected using the edit functions or the browser’s “back” button. By clicking the order button, the customer submits a binding offer to purchase the goods in the cart.
(3) Immediately after submitting the order, the customer receives an automatic confirmation of receipt by e-mail. This does not yet constitute acceptance of the offer.
(4) The contract is concluded as follows:
- PayPal, PayPal Pay Later, direct debit, Google Pay and credit card (each via PayPal): when the customer completes the payment process and thereby authorises the payment.
- Prepayment: when an order confirmation or payment request is sent by e-mail, or when the goods are delivered, whichever comes first.
§ 3 Storage of the contract text
The Seller stores the contract text. The customer receives the order details and these terms by e-mail. The terms can be accessed on this page at any time. Customers with a customer account can view their orders there.
§ 4 Prices and shipping costs
(1) All prices are final prices and include statutory VAT. For deliveries to other EU countries, the VAT rate of the destination country applies.
(2) Shipping costs are charged in addition. They depend on the destination country and weight and are shown on the Shipping & payment page and during checkout.
(3) For deliveries to countries outside the EU, customs duties, taxes and fees may apply, which are payable by the customer.
§ 5 Delivery
(1) Goods are shipped with DHL to the countries listed on the shipping page.
(2) The delivery time is stated for each item and on the shipping page. For prepayment, the delivery time starts on the day after receipt of payment; for all other payment methods, on the day after conclusion of the contract. If the last day falls on a Saturday, Sunday or public holiday, the period ends on the next working day.
§ 6 Payment
(1) The customer can choose between:
- PayPal – payment is processed by PayPal (Europe) S.à r.l. et Cie, S.C.A.
- PayPal Pay Later – payment after 30 days or in monthly instalments. This payment method is provided by PayPal; PayPal’s terms apply and PayPal usually carries out a credit check for it.
- Direct debit – payment by SEPA direct debit, processed via PayPal.
- Google Pay – payment with the cards stored in the Google account, processed via PayPal.
- Credit card – processed via PayPal; no PayPal account is required.
- Prepayment – the customer receives our bank details by e-mail and transfers the invoice amount; the goods are shipped once payment has been received.
(2) The purchase price is due upon conclusion of the contract.
§ 7 Retention of title
The goods remain the property of the Seller until paid in full.
§ 8 Transport damage
(1) If goods are delivered with obvious transport damage, the Seller asks the customer to complain to the carrier immediately if possible and to inform the Seller by e-mail within 48 hours of receipt, stating the order number and including photos of the damage.
(2) For consumers, failure to make such a complaint or to contact the Seller has no consequences for their statutory rights and their enforcement, in particular their warranty rights. It does, however, help the Seller to assert its own claims against the carrier.
§ 9 Warranty
(1) The statutory warranty rights apply.
(2) For business customers, the limitation period for claims for defects is one year from delivery of the goods. This does not apply to claims for damages arising from injury to life, body or health, from the breach of essential contractual obligations, in cases of intent or gross negligence, or to recourse claims under § 445a BGB.
(3) The Seller does not give any guarantee.
§ 10 Liability
(1) The Seller is liable without limitation for damages arising from injury to life, body or health, for damages caused by intent or gross negligence of the Seller, its legal representatives or vicarious agents, and under the German Product Liability Act.
(2) In the event of a slightly negligent breach of essential contractual obligations, liability is limited to the foreseeable damage typical for this type of contract. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely.
(3) Otherwise, the Seller’s liability is excluded.
§ 11 Right of withdrawal
Consumers have a statutory right of withdrawal of 14 days. Details can be found in the withdrawal policy. Withdrawal can also be declared via the “Withdraw from contract” button.
§ 12 Set-off and assignment
(1) The customer may only set off claims that have been legally established or are undisputed.
(2) The assignment of the customer’s claims against the Seller requires the Seller’s consent, unless the customer demonstrates a legitimate interest in the assignment.
§ 13 Language of contract
The contract languages are German and English.
§ 14 Consumer dispute resolution
The Seller is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
§ 15 Applicable law and place of jurisdiction
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the country in which they have their habitual residence.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from this contract is the Seller’s registered office.
§ 16 Final provisions
Should any provision of these terms be invalid, the validity of the remaining provisions shall not be affected.
